Vice Chairman sought by ITO EN (North America), Inc., in Irving, TX, to be resp for: assisting the Chairman in carrying out their duties & responsibilities effectively; contributing to the dvlpmt & implmtn of the co's strategic plans & objectives; ensuring that the board operates effectively by providing guidance on governance matters & adherence to best practices; attending & actively participating in board meetings; providing valuable insights & input on key decisions; providing leadership & direction to the executive team & other senior leaders w/in the organization; bldg & maintaining relationships w/ key stakeholders, incl in parent co., customers, partners, & regulators; assisting in identifying & mitigating risks that may affect the co's ops or reputation; overseeing the co.'s fin'l performance & ensuring that appropriate fin'l controls are in place; participating in succession planning for senior leadership positions, incl the CEO & other key executives; ensuring compliance w/ legal & regulatory reqmts & upholding high standards of corporate governance; serving as a representative of the co. in external forums, such as industry events, conferences, & media appearances; helping to resolve conflicts or disagreements w/in the board or between the board & mgmt; advising the Chairman, CEO, & other members of the leadership team on various bus. matters; & promoting a culture of continuous improvement w/in the organization, seeking opportunities to enhance operational efficiency & effectiveness. Reqmts: Must have 10 yrs of exp in a senior leadership role serving on a board of directors or as President, COO, Chairman, or rltd position. Must possess a strong understanding of corporate governance principles & best practices; fin'l analysis, budgeting, & forecasting; fin'l mgmt & reporting; risk mgmt principles & conflict resolution; & familiarity w/ fin'l regs & compliance reqmts.
